  3.             ESCROW AGREEMENT AND INSTRUCTIONS
  4.  
  5. Susan Craft and Rick Washington, referred to herein as
  6. "PRINCIPALS" herewith request that Sample Title and Escrow
  7. Company, referred to herein as "ESCROW AGENT" establish an escrow
  8. of the following described items, and dispose of them as is
  9. provided herein.
  10.  
  11. PRINCIPALS herewith deliver the following items to be held by
  12. ESCROW AGENT:
  13.  
  14. $5000 cash
  15.  
  16. Any cash funds or cash proceeds shall be deposited by the ESCROW
  17. AGENT in an interest bearing account, in institutions which are
  18. federally insured for deposits in the amount of the ESCROW, or in
  19. direct obligations of the United States of America, including
  20. treasury bills or notes with maturity dates coinciding with any
  21. distributions to be made hereunder. In the event that non-cash
  22. items are deposited, the ESCROW AGENT shall maintain such items in
  23. the condition in which they were received.
  24.  
  25. ESCROW agent shall release the funds and items upon the receipt of
  26. instructions from seller, reciting the following:
  27.  
  28. on delivery of all properly signed documents
  29.  
  30. as follows:
  31.  
  32. all to seller
  33.  
  34. said instructions shall be sworn or provided under penalties of
  35. perjury.
  36.  
  37. In the event that instructions are not received on March 15, 1994,
  38. ESCROW agent shall close the escrow and return the amounts to the
  39. parties depositing or providing them originally, and shall then be
  40. absolutely discharged.

  42. Upon receipt of such instructions and complying with the same,
  43. ESCROW agent shall be discharged as to the amounts so paid. ESCROW
  44. agent shall be absolutely discharged upon such payment and may
  45. rely solely and totally upon such certifications. ESCROW agent
  46. shall not be required to make any independent verification of the
  47. correctness of any instructions or the occurrence of any required
  48. conditions precedent and shall rely solely on certifications
  49. received as provided herein.

  51. In the event of the receipt of conflicting instructions prior to
  52. discharge of the ESCROW agent, ESCROW AGENT shall commence an
  53. arbitration before a single arbitrator acceptable to ESCROW AGENT
  54. under the rules of the American Arbitration Association, whose
  55. decision shall be final. Upon receipt of a final decision from the
  56. arbitrator, the ESCROW AGENT shall comply therewith and upon such
  57. compliance shall be discharged from all further liability. The
  58. decision of the arbitrator shall be final, and may be reduced to
  59. judgment by any party hereto or the escrow agent.

  61. PRINCIPALS shall indemnify ESCROW AGENT for all actions taken in
  62. compliance with this agreement.

  66. The PRINCIPALS shall reimburse the ESCROW AGENT for expenses
  67. incurred herein as follows:
  68.  
  69. by the buyer
  70.  
  71. ESCROW agent shall receive compensation for its services as
  72. follows:
  73.  
  74. 1/2 of 1% of amount of transaction
  75.  
  76.  
  77.  
  78. This is the entire agreement between PRINCIPALS and ESCROW AGENT.
  79. ESCROW AGENT is solely acting as a neutral stakeholder and the
  80. PRINCIPALS agree that there are no intended third party
  81. beneficiaries or parties other than PRINCIPALS to this agreement.

  92. All notices herein shall be sent by certified mail, or by
  93. overnight delivery service providing a receipt. Notices sent by
  94. certified mail shall be deemed received within one working day
  95. after first notice to the recipient for pick up, or when received,
  96. whichever is earlier. Notices sent by overnight delivery service
  97. shall be deemed received the next business day.
